This is product legal copy for Wrooms and L7 Chain. It is not legal advice, not a securities prospectus, and not a registration statement. Wrooms is the Service and the contracting party. The Wrooms App is hosted at wrooms.ai. Wrooms AI is the house desks inside the Wrooms App. L7 Chain (also L7) is the public settlement ledger of the Service, readable at l7c.ai. Its purpose is to seal economic events — buys, sends, swaps, issues, wraps, and pieces — so a later record cannot quietly replace an earlier one. L7C is the layer-one coin of L7 Chain. WRO is the native layer-two token of Wrooms, isolated on L7 Chain. The Wrooms User Agreement remains the binding terms of use. The Token Sale Agreement is the binding purchase terms for L7C and WRO sold on the Wrooms book.

This Token Sale Agreement (the “Sale”) is between you and Wrooms. It covers the purchase of L7C, the layer-one coin of L7 Chain, and WRO, the native layer-two token of Wrooms, from the Wrooms book after the Issuer issues those assets. It does not cover user-created tokens, wrapped rails, pieces, or Wilds accessories.

By completing a buy on the book you accept this Sale, the Wrooms User Agreement (including §7 L7 Chain), and the public Privacy summary. If you do not agree, do not buy.

L7C and WRO are digital goods used on the Wrooms Service: settlement on L7 Chain, convert, stake, send, and related features in the Wrooms App. They are not equity in Wrooms, not a share of profits, not a deposit account, not a loan, and not a registered security.

• You do not receive voting control of Wrooms.
• You do not receive a right to dividends or revenue.
• You do not receive a claim on Wrooms’ assets if the Service stops.
• Wrooms is not a broker, exchange, or custodian of your keys.
• Opening prices are a book start, not a promise of future value.

Nothing in this Sale is an offer of securities under the U.S. Securities Act of 1933 or any state blue-sky law. If a court later treats a token as a security in your place, Wrooms may pause sales to you and unwind unsettled orders.

You must have a Wrooms account in good standing, have accepted the current User Agreement, and be able to lawfully hold a crypto asset where you live. You must be at least 18 to buy L7C or WRO.

Do not buy if token sales are unlawful for you. Wrooms does not solicit purchases in any jurisdiction that requires a registered prospectus it has not filed. Wrooms may refuse, delay, or reverse a buy that fails eligibility, safety, or settlement checks.

Nothing is issued until the Issuer taps Issue for that asset. Until then the book does not sell L7C or WRO. After Issue, only the liquidity tranche sits on the book for sale. Other allocations are not this Sale.

The remaining L7C is allocated to Team / Legacy (15%), Ecosystem & Incentives (35%), Treasury / Foundation (25%), Community / Airdrop (10%), and Advisors / Future hires (5%). The remaining WRO is Team / Legacy (60%). Those plates are not this Sale.

5. How a purchase works

You buy from the Wrooms book inside L7 using dollars in Pay. A buy starts at one U.S. dollar and can fill a fraction of a coin, to four decimal places. Price moves with the book. The book holds a floor so a dump cannot print below the live floor.

• Buy fee: 0.3% of dollars spent.
• Sell fee: 3% of dollars received.
• Convert / pool fee: 0.3%. Pools open after L7C is issued.
• Minimum book buy: $1.
• Settlement: the fill seals on L7 Chain. If it does not seal, the buy did not happen.

A completed seal is the receipt. The public book at l7c.ai shows lane, move, parties, amount, asset, layer, height, hash, and time. It does not show keys, cards, or chat.

L7C and WRO land on the L7 plate tied to your Wrooms account. You may reveal a private key for a plate you own by confirming with your Wrooms password. Wrooms does not keep a recoverable copy of that key. If you lose the key and the account, Wrooms cannot restore the plate.

Purchases are final once sealed. There is no cooling-off refund for a change of mind or a later price move. If a seal fails, dollars are not taken (or are returned to Pay) and you may try again. Wrooms may reverse a fill that was fraud, duplicate settlement, or a clear error.

• Hold, send, and receive on L7 plates.
• Buy and sell on the Wrooms book.
• Convert through L7 pools once they are open.
• Stake L7C. Unstake when you want it back.
• Use L7 features on the Service: pieces, wraps, span, and settlement of Wilds marketplace events.

Utility on the Service is the purpose of this Sale. Future features may use L7C or WRO. Wrooms does not promise a listing on any outside exchange, a price, or a date.

• Price can go to zero. The book can pause sells at the floor. Liquidity can be thin.
• Software, rails, and vendors can fail. Seals can delay.
• Law can change. A token treated as a security in your place can be frozen for you.
• Wrooms can change the Service. Features can shut down. The User Agreement “as is” and liability cap apply.
• Keys you reveal are yours to lose. Phishing is your risk.
• User-created tokens are not this Sale and can fail independently.

9. Law, changes, and the whole agreement

The laws of the United States and the Commonwealth of Pennsylvania govern this Sale, excluding conflict-of-law rules, except where a consumer-protection law requires otherwise. Courts in that venue may hear disputes.

This Sale plus the User Agreement is the whole purchase contract for L7C and WRO on the book. If they conflict on a purchase, this Sale controls the fill; the User Agreement controls use of the Service. Material changes apply to new buys after the new version is posted at /sale. Existing sealed fills stay sealed.
